Business-Ethics Stories Prominent In Global Coverage

British employees say they are feeling pressure to cut ethical corners during recession; Wall Street Journal looks at ethics of granting pay raises to execs of companies headed for bankruptcy; many U.K. investors protest that ?ethical? investment funds often are ethical in name only

Developments at the intersection of business and morality were the subject of several headlines last week. Among them:

  • The recession is apparently prompting U.K. employees to take ethical shortcuts, reports the London-based Guardian. A report from the Institute of Business Ethics says 84 percent of British employees indicate that they work honestly ?always or frequently,? but 9 percent say they have been pressured to compromise their ethical standards. Eighteen percent say there is an ?unethical culture? prevalent within their organization. A fifth of British employees say they have witnessed unethical acts, but of them only half say they reported it, notes the Guardian.
  • Relationships between management and workers at the troubled Hostess Brands, Inc., began to sour months ago after workers learned executives received pay raises shortly before seeking bankruptcy protection, reports the Wall Street Journal. The Journal reports that such practices are common and often stir emotions, but are not entirely clear-cut in terms of ethics. On one hand, ?financially ailing companies often pay bonuses and other compensation to executives, directors, and private-equity owners in the months before filing for bankruptcy protection. Federal law restricts ?retention? bonuses paid to such ?insiders? after a bankruptcy case is filed but not before,? notes the Journal. ?Companies often say they are using their best business judgment when paying bonuses to executives who are working overtime to keep operations afloat. A firm?s fate often isn?t known when bonuses are paid, and companies argue they must motivate some executives to stay lest they suffer exoduses that further destabilize troubled situations.?
  • Angry investors are dumping some ?ethical? funds after concluding that not all funds so labeled are really that good, according to a report from Investors Chronicle, a publication of the Financial Times group. The Chronicle writes: ?Independent financial advisers claim the ethical investment market, which has almost trebled in size over the last decade, is clogged with a growing number of ?disillusioned? investors who have bought the funds while under the impression they are more ethical than they are in reality.? Morley reports that a recent study by FairPensions, a charity that promotes responsible investment by pension funds, claimed that almost half of ethical funds fail to fully disclose their investments.

Freeport to buy Plains, McMoRan Exploration for $9 billion

(Reuters) - Freeport-McMoRan Copper & Gold Inc said on Wednesday it would acquire Plains Exploration & Production Co and McMoRan Exploration Co for $9 billion in cash and stock in a major expansion into energy.

The combination would create a company with gold, oil and natural gas assets around the world. Freeport said the new entity, on a pro-forma basis, would generate almost three-quarters of its 2013 operating earnings from mining and the rest from oil and gas.

The deal would help Freeport diversify, with its mining profile largely outside the United States and Plains and McMoRan concentrated in energy plays in California, Texas and the Gulf of Mexico.

Freeport said it would pay $25 cash and 0.6531 shares of its common stock for each Plains share, adding up to $50 per share, or a total deal value of $6.9 billion.

Freeport would pay $14.75 cash for each McMoRan share, or $2.1 billion after taking into account shares in McMoRan that Freeport and Plains already own.

McMoRan shareholders would also get 1.15 units of a royalty trust for each share they hold. That trust would hold a 5 percent royalty interest in future production from McMoRan exploration properties in ultra-deepwater territories.

Shares in Plains rose 25 percent to $45.10 in premarket trading from the $36.05 close on Tuesday. McMoRan Exploration jumped 74 percent to $14.76 from the close of $8.46 Tuesday.

New Jersey Legislature Could Pass Online Gambling Bill Before ...

New Jersey Assembly delivers a wake up call to proponents of online gambling.

New Jersey online gambling bill reappears

A New Jersey Assembly Committee revived a bill on Monday that would authorize intrastate internet gambling, including poker.

State Senator Raymond Lesniak believes the proposed legislation will receive a full Assembly vote on December 17 and will appear before the Senate on December 20, according to a report by John Brennan for NewJersey.com.

Bill A2578 would authorize casinos in Atlantic City to offer a full slate of internet gambling to people within the state. Delaware is currently the only state to have authorized online casino gambling and Nevada has legalized online poker, though neither state has yet taken its first online wager.

This is not New Jersey?s first dance with online gambling. Last year, Governor Chris Christie vetoed a bill that would have legalized online gambling in New Jersey. Online gambling legislation was then reintroduced to both the Senate and the Assembly earlier this year.

The New Jersey Assembly Appropriations Committee passed bill A2578 by a 6-0 margin in June. However, the issue was forced to the back burner following statements by the Governor that no such legislation would be approved until after the US presidential election.

As recently as May, Lesniak maintained that online gaming would be ?up and operational? in New Jersey by the end of 2012.

Even if Lesniak has correctly predicted a vote by both arms of the New Jersey Legislature on internet gambling by the end of the year, Governor Christie?s signature is not a given.

Republicans block U.N. treaty to protect people with disabilities

WASHINGTON (Reuters) - Republican lawmakers on Tuesday blocked a treaty to protect people with disabilities from discrimination despite a passionate plea from former Senate Majority Leader Bob Dole, who was severely wounded in World War Two.

The Senate voted 61-38 to pass the United Nations Convention on the Rights of Persons with Disabilities, falling short of the 66 votes needed to ratify the treaty.

The former Republican presidential nominee and Senate majority leader from Kansas tried to persuade Republicans to ratify the treaty and sat in a wheelchair on the sidelines of the Senate floor as lawmakers voted.

Only eight Republicans, including Vietnam War veteran Senator John McCain of Arizona, voted with the Democratic majority in the Senate.

"It is a sad day when we cannot pass a treaty that simply brings the world up to the American standard for protecting people with disabilities because the Republican Party is in thrall to extremists and ideologues," said top Democratic Senator Harry Reid of Utah.

The treaty was modeled on a U.S. law that is designed to ensure that people with disabilities have equal opportunities in employment as well as state and local government services.

Ultra-conservatives associated with the Tea Party, including former Republican presidential candidate Rick Santorum, had opposed the treaty saying it threatened U.S. sovereignty and parental rights.

Santorum, who has a daughter with special needs, had argued that the treaty would effectively put the United States under international law and give the U.N. discretion over decisions about how special needs children are educated.

Dole was the 1996 Republican presidential nominee and 1976 conservative vice-presidential nominee.

Egypt's top court shuts down, blames Islamist protesters

CAIRO (Reuters) - Protests by Islamists allied to President Mohamed Mursi forced Egypt's highest court to adjourn its work indefinitely on Sunday, intensifying a conflict between some of the country's top judges and the head of state.

The Supreme Constitutional Court said it would not convene until its judges could operate without "psychological and material pressure", saying protesters had stopped the judges from reaching the building.

Several hundred Mursi supporters had protested outside the court through the night ahead of a session expected to examine the legality of parliament's upper house and the assembly that drafted a new constitution, both of them Islamist-controlled.

The cases have cast a legal shadow over Mursi's efforts to chart a way out of a crisis ignited by a November 22 decree that temporarily expanded his powers and led to nationwide protests against him and his Muslim Brotherhood group.

The court's decision to suspend its activities appeared unlikely to have any immediate impact on Mursi's drive to get the new constitution passed in a national referendum on December 15.

Judges supervise voting in Egypt, and Mursi will need them to oversee the referendum.

But in a blow to the president, an influential body representing judges decided on Sunday not to oversee the vote, the state news agency reported. The Judges' Club's decisions are not binding on members, however.

Vice President Mahmoud Mekky said on Sunday he was confident the judges would perform that role, despite calls by Mursi's critics in the judiciary for a boycott.

Three people have been killed and hundreds wounded in protests and counter-demonstrations over Mursi's decree.

At least 200,000 of Mursi's supporters attended a rally at Cairo University on Saturday. His opponents are staging an open-ended sit-in in Cairo's Tahrir Square, the cradle of the uprising that toppled Hosni Mubarak in February 2011.

The National Salvation Front, an alliance of liberal, leftist and socialist opposition groups, called for protests in Tahrir Square on Tuesday against Mursi holding the referendum on what it branded an "illegitimate constitution".

Mursi and the Muslim Brotherhood, which propelled him to power in a June election, hope to end the crisis by pushing through the new constitution hastily adopted by the drafting assembly on Friday. The next day the assembly handed the text to Mursi, who called the referendum and urged Egyptians to vote.

"The Muslim Brotherhood is determined to go ahead with its own plans regardless of everybody else. There is no compromise on the horizon," said Hassan Nafaa, a professor of political science at Cairo University.

DEEP SUSPICION

Outside the Supreme Constitutional Court, Muslim Brotherhood supporters rallied behind the referendum date. "Yes to the constitution," said a banner held aloft by one protester. Chants demanded the "purging of the judiciary".

The interior minister told the head of the court that the building was accessible and that the protests were peaceful, according a statement from the ministry.

The protest reflected the deep suspicion harboured by Egypt's Islamists towards a court they see as a vestige of the Mubarak era. The same court ruled in June to dissolve the Muslim Brotherhood-led lower house of parliament.

Since then, several legal cases have challenged the legitimacy of the upper house of parliament and the 100-member constituent assembly that wrote the constitution.

Those against the upper house have focused on the legality of the law by which it was elected, while the constitutional assembly has faced a raft of court cases alleging that the way it was picked was illegal.

Mursi believes securing approval for the new constitution in a popular referendum will bury all arguments on the legality of the constituent assembly, as well as controversy over the text it worked through the night to finish on Friday.

It will also override the November 22 decree that drew concern from Western governments and a rebellion by sections of the judiciary. The decree shielded Mursi from judicial oversight.

While the Islamists' critics, including representatives of the Christian minority, have accused the Brotherhood of trying to hijack the constitution, investors appear to have seen Mursi's moves as a harbinger of stability. They were also relieved that Saturday's mass Islamist protest went off calmly.

The main stock market index, which lost a tenth of its value in response to Mursi's November 22 decree, rallied more than 2 percent when the market opened on Sunday.

"The events that took place through the weekend, from the approval of the final draft of the constitution and the president calling a referendum, gave some confidence to investors that political stability is on track," said Mohamed Radwan of Pharos Securities, an Egyptian brokerage.

OPPOSITION INFURIATED

But opposition parties have been infuriated by what they see as the Brotherhood's attempt to ram through a constitution that does not enjoy national consensus. Mursi's opponents warn of deeper polarisation ahead.

Liberal figures, including former Arab League chief Amr Moussa, pulled out of the constituent assembly last month, as did Christian representatives.

The draft constitution contains Islamist-flavoured language which opponents say could be used to whittle away human rights and stifle criticism. It forbids blasphemy and "insults to any person", does not explicitly uphold women's rights and demands respect for "religion, traditions and family values".

New York-based Human Rights Watch said the draft constitution protected some rights while undermining others.

The text limits presidents to two four-year terms, requires parliamentary approval for their choice of prime minister, and introduces some civilian oversight of the military - although not enough for critics. Mubarak ruled for three decades.

Mursi described it as a constitution that fulfilled the goals of the revolution that ended Mubarak's rule. "Let everyone -- those who agree and those who disagree -- go to the referendum to have their say," he said.

The Islamists are gambling that they will be able to secure a "Yes" vote by mobilising their core support base.

Counselor: Manning's history showed self-harm risk

FORT MEADE, Md. (AP) ? An Army private charged with sending U.S secrets to the website WikiLeaks had a history of suicidal thoughts and aloof behavior that outweighed a psychiatrist's opinion that he was no risk to himself, two former counselors testified Sunday.

Army Staff Sgt. Ryan Jordan and Marine Master Sgt. Craig Blenis testified on the sixth day of a pretrial hearing for Pfc. Bradley Manning at Fort Meade, near Baltimore. The hearing is to determine whether Manning's nine months in pretrial confinement at the Marine Corps brig in Quantico, Va., were so punishing that the judge should dismiss all charges. The 24-year-old intelligence analyst is accused of sending hundreds of thousands of classified documents to the secret-spilling website in 2009 and 2010.

The counselors, both of whom worked in the brig, sat on a board that recommended to the brig commander that Manning remain in maximum custody and on either injury-prevention or suicide-risk status ? conditions that kept him confined to his cell 23 hours a day, sometimes with no clothing.

Jordan said under cross-examination by defense attorney David Coombs that besides the mental-health report, he considered evidence that Manning had contemplated suicide after his arrest in Iraq in May 2010. The evidence included a noose Manning had fashioned from a bedsheet while confined in Kuwait, and a written statement he made upon arrival at Quantico in July 2010 that he was "always planning and never acting" on suicidal impulses.

Jordan acknowledged Manning had been a polite, courteous and nearly trouble-free detainee at Quantico.

"Wouldn't his past six months of performance be an indicator of his potential for future behavior?" Coombs asked. But Jordan maintained that Manning's unwillingness to converse with him and other brig staff was a warning sign he was at risk of self-harm.

Jordan said he considered the opinion of the brig psychiatrist, Navy Capt. William Hocter, that Manning was no longer at risk of self-harm. But Jordan said the weight he gave to Hocter's views was tempered by the fact that another detainee had recently killed himself after his custody status was reduced on Hocter's advice.

"I would consider it, but I would always consider it with care, sir," he told Coombs.

Blenis, who spent more time with Manning, said Manning chose not to speak most of the time except for short, yes-or-no answers. He said Manning spurned his offers to play chess or work brain teasers by arrogantly responding, "They're a little below my level."

"I've got a person not communicating with me that's sitting in his cell, not doing anything," Blenis said.

He said he supported the brig commander's decision in March 2011 to strip Manning of all clothing at night and place him on suicide watch after Manning told another staffer that if he really wanted to kill himself, he could use the elastic waistband on his underwear.

"If someone tells me they're going to shoot themselves in the face, I'm not going to give them a gun," Blenis said.

Manning was moved in April 2011 to pretrial confinement at Fort Leavenworth, Kan. He's been held there in medium custody since then.

Earlier Sunday, the military judge said Manning's trial, previously set to begin Feb. 4, would be pushed back to sometime in March due to lengthy pretrial proceedings.

The hearing on Manning's confinement was to recess Sunday and resume Wednesday.

Manning is charged with 22 offenses, including aiding the enemy, which carries a maximum penalty of life in prison.

Using fire to boil water has long been the preferred method for making steam. But now, thanks to specially coated nanoparticles of sand, we can use sunlight.?

Researchers at Rice University in Texas made fine grains of sand, much smaller than the width of a human hair, and coated them in gold or carbon. They sprinkled these nanoparticles into water, and then focused sunlight on them. Each particle acted as a nano-sized boiler, absorbing the heat from the sunlight and turning surrounding water molecules from liquid to vapor. This solar steam was produced without having to boil the whole pot, in as quickly as five seconds.??

The research was published in the American Chemical Society's journal ACS Nano. [Oara Neumann et al, Solar Vapor Generation Enabled by Nanoparticles]

The nano-sized boilers turn sunlight into steam with 80 percent efficiency and could prove a boon in places that lack fossil fuels or electricity. The nanoparticles are easy to make, relatively cheap and can be used over and over again.?

The technology could enable folks in resource poor areas to do everything from purifying water to sterilizing surgical equipment. And that might be enough to start a new, if smaller, Steam Age.
